Terms & Conditions

1. Scope of Services

DE FAVERI CONSULTING LLC ("the Company") offers tech consulting, software development, and cybersecurity services. This includes consultations, software development projects, and cybersecurity assessments.

2. Payment Terms

Payment for our services will be handled as follows:

  • Consulting Meetings: Payment is required upfront to reserve your time on the calendar.
  • Software Development Projects: Payments will be collected upon successful delivery of milestones as outlined in project agreements.

3. Termination

Either party may terminate the agreement with written notice. Termination conditions and any associated penalties or fees will be specified in project agreements.

4. Confidentiality

The Company handles client information with strict confidentiality. We are willing to sign Non-Disclosure Agreements (NDAs) to protect your confidential information.

5. Intellectual Property

Unless otherwise agreed upon in writing, the client retains ownership of all work produced by the Company. Any intellectual property rights will be defined in project-specific agreements.

6. Liabilities and Warranties

The Company guarantees the quality of its services. Any disputes regarding the quality or effectiveness of our work will be addressed through mediation.

7. Force Majeure

The Company shall not be liable for any failure or delay in performing our obligations under this agreement due to events beyond our control, including but not limited to natural disasters and global crises.

8. Dispute Resolution

In the event of a dispute, both parties agree to attempt mediation before pursuing legal action.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of Florida, USA.

10. Changes to Terms

Clients will be informed of any changes to these terms and conditions through email notifications if they are subscribed to our updates.

11. Communication

Preferred modes of communication between the Company and clients are email and phone.

12. Delivery and Timelines

Project timelines will be determined based on the complexity and effort of each component. In case of delays, the client will be promptly notified.

13. Third-party Involvement

The Company reserves the right to use third-party tools or subcontractors to complete a project as needed.

14. Limitation of Liability

The Company's liability for damages or losses to the client is capped at the agreed-upon project cost.

15. Client Responsibilities

Clients are responsible for communicating project requirements and following up on updates from the Company.
